BOSTON - Amylin Pharmaceuticals (AMLN 11.85, +0.17, +1.46%) said late Wednesday that, based on a preliminary count by its proxy solicitor, it appears two of its board's twelve seats have been won by dissident shareholders Eastbourne Capital Management and Carl Icahn. Eastbourne and Icahn, both highly critical of Amylin management, had joined forces to nominate five directors to the board. Amylin also said that Icahn's proposal to move the company's incorporation to North Dakota was also defeated at the company's annual shareholders meeting on Wednesday. Icahn and Eastbourne have pushed for a variety of changes at Amylin, including a possible sale to a major pharmaceutical company. Shares of Amylin were up 5% at $11.63.
